1.6 Material Interests
Swiss Rock Asset Management ("SRAM") is an investment management company ("Fund Management Company") under Swiss law. It is also licensed to manage investment portfolios in accordance with mandates given by investors on a discretionary, client-by-client basis.
As such, SRAM is also an alternative investment fund manager under Chapter 2 of the Luxembourg Law of July 12, 2013 on Alternative Investment Fund Managers ("AIFM"). Indirectly, SRAM, in its capacity as fund manager of two self-initiated Luxembourg Sicavs, is thus subject to the applicable Luxembourg regulatory requirements regarding potential conflicts of interest that may arise in connection with its activities as fund manager.
SRAM will act honestly, fairly and in the best interest of the funds it manages or its clients and maintains appropriate organizational measures to avoid or at least minimize the risk of conflicts of interest.
SRAM is responsible for implementing procedures and measures to avoid or manage conflicts of interest in its activities as a fund manager of Luxembourg funds:
- Identifying specific business lines and activities carried out by or on behalf of SRAM that could give rise to conflicts of interest that may entail the risk of damage to the interests of the managed fund or its female clients
- Prevention of such conflicts of interest
- Managing and resolving conflicts of interest, when unavoidable, in the interest of the managed fund or their clients
- Monitoring and disclosure of conflicts of interest that cannot be adequately managed in the context of SRAM's activities.
The general framework is provided by this document ("Conflicts of Interest Policy"). This applies to SRAM as well as its employees.
1.7 Performance
Past performance is not an indication or guarantee of future performance of the investment assets. The value of investments may fluctuate and investors may not get back the full amount invested. Exchange rate fluctuations may also increase or decrease the value of an investment.
2. specifics on investment funds
2.1 Target Group of the Sites
The Sites are directed exclusively at legal entities and natural persons domiciled or resident in countries in which the investment funds or the subfunds or unit classes belonging thereto of Swiss Rock Asset Management AG are duly licensed or authorized for public distribution, offering or sale in accordance with the applicable local legislation.
The information and services provided on the Sites are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation. Natural or legal persons to whom these prohibitions apply may not access or use these sites.
2.2 USA
The Swiss Rock investment funds are not licensed in the United States under the Securities Act of 1993 (Securities Act) or the Investment Company Act of 1940. Units of the Swiss Rock funds may not be offered, sold or delivered within the United States.
2.3. other countries
The investment funds published in these sites are currently only permitted in the countries indicated. As a general rule, units of the funds may not be sold, offered or delivered without authorization in a particular country.
2.4 Investment risks
Investors must be aware that units of investment funds involve investment risks, including the possible loss of the capital invested. Past performance is not a guarantee of, or an indication of, future performance. The price of an investment in a fund, as well as the income earned therefrom, fluctuates so that an investor's shares may be above or below the original cost price upon redemption. Due to continued market volatility, the performance of the Funds may be subject to sharp short-term changes. In addition, mutual funds that invest primarily in emerging markets and/or in equity securities of small-capitalization companies and/or in high-yield bonds are generally subject to higher risks. Please review the investment policy in the legal prospectus or fund regulations for information on the specific risks associated with a particular fund. The funds may also invest in foreign currencies (compared to the reference currency of the respective fund). This results in the additional risk of exchange rate fluctuations.
2.5 Fund documents
You should only make an investment after carefully reading the latest prospectus or fund contract, the latest annual and semi-annual reports, the articles of incorporation (if applicable) and any other documents that may be required under local legislation and regulations in the jurisdictions where the relevant fund is authorized or entitled for public distribution, offer or sale. All these documents are available free of charge from Swiss Rock Asset Management AG in Zurich, from the relevant paying agent or from the distribution partners.
